Incorporation procedures for representative offices of foreign enterprises
The establishment of representative offices of foreign enterprises registered, generally through the following steps:
The first step: according to the nature of business, reports Beijing Bureau of Commerce or the relevant competent committee of the State Council, Ministry, Board for approval, obtained the "approval certificate";
Note: Foreign advertising companies, pharmaceutical companies, trade companies, manufacturers, freight forwarding companies, contracting companies, consulting firms, investment companies, leasing companies, rail companies need not be reported to the authorities for approval, etc., should be directed to the Beijing Industry and Commerce Administration for registration.
Step two: get registration forms;
The third step: submission of application materials are complete, comply with the statutory form, waiting to receive "allowed the establishment of registration notice";
Step four: get "set up to grant registration notice", in accordance with "Notice of registration of establishment granted" to determine the date to pay the registration fee and Industry Bureau, advertising fees and receive a registration certificate and permit representatives.

Foreign Enterprises Permanent Office shall be submitted to the documents, certificates
(A) the establishment of representative offices of foreign enterprises shall be submitted to the documents:
1, "foreign (regional) enterprises to establish representative office registration form" (containing "the basic situation on behalf of institutions", "stationed in the place that", "Representative Registration Form", "on behalf of the record table" and other forms);
2, the State Council, the Commission, the ministries, departments or the Beijing Municipal Bureau of Commerce issued a valid (from the date of issue 30) within the "certificate of approval," original; in accordance with China's international treaties concluded or acceded to the Agreement provides for the establishment engaged in profit-making activities The representative body shall also submit the file.
3, sending the host country (region) issued by the registration authority for more than two years of the existence of the legal business certificate (including Hong Kong SAR with limited need to submit the Hong Kong tax authorities issued within the validity period of the "Business Registration Certificate" copy) and sent a company with the financial institution has business credit certificate issued (original), the documents subject to the country (region) and the People's Republic of notary public in the country (or hosting the region) and consulates authentication ; Hong Kong, Macao, and Taiwan area businesses on behalf of institutions related documents notarized certification under the current regulations. 4, foreign (region) enterprises the right to sign the application signed (original) (includes: Permanent Representative of the organization, based in places, names of chief representative and representatives, representative bodies of business, duration);
5, the foreign (region) enterprise agreement articles of association or organization; (the file should be owned by foreign companies of national or regional notary public, and the Republic of China in the country (or hosting the region) to consular certification. Hong Kong, Macao, Taiwan regional business representative of the relevant documents notarized certification under the current regulations. Hong Kong and Macao business of the articles of association or organization shall agreement notarized by the local notary public by the China Legal Service (Hong Kong) Limited or China Legal Service (Macau) Limited Canada Seal cover transmitting transmitting; Taiwan companies to prove the qualification by the local notary public notary.)
6, the foreign (region) enterprises issued by the authorized signatory on the right or documents; (the file should be owned by foreign companies of national or regional notary public, and the Republic of China in the country (or hosting the region) Embassy certification. Hong Kong, Macao, and Taiwan area businesses on behalf of institutions related documents notarized certification under the current regulations. Hong Kong and Macao enterprises issued by the authority of the person for the right to sign documents or shall by the local notary notarized by the China Legal Service ( Hong Kong) Limited or the China Legal Service (Macau) Limited seal stamped transmitting transmitting; Taiwan companies to prove the qualification by the local notary public notary.)
7, foreign (region) enterprises the right to sign the chief representative and representatives signed power of attorney (or appointment) (Original) and identity (the file should be owned by foreign companies of national or regional notary public, and the Republic of China in the country (or hosting the region) to consular certification. Hong Kong, Macao, and Taiwan area businesses on behalf of institutions related documents notarized certification under the current regulations.) chief representative and representatives of CV (with photo of each on behalf of three). On behalf of agency representatives (including chief) of not more than 4 people.
By a Chinese citizen who is the chief representative or representatives, shall be submitted to Foreign Affairs sent letters issued by the service units (Note: Foreign Service Units include: Beijing Foreign Enterprise Service Group Co., Ltd., China Sida International Economic and Technical Cooperation, China International Cooperation Company Intelligence , Chengtong Human Resources Co., Ltd., China International Talent Development Center, Beijing Foreign Airlines Services, etc.);
8, "designated (commission) book";
9, "Corporate Secretary (contact) registration form";
10, finance and insurance industries in addition to submitting the above documents, documents, should also submit an agency's assets and profit and loss report, articles of association, the Board of Directors list.
Drew particular attention to:
1, the applicant should file the relevant notary certification within six months from the date of issue to the registration office to register.
2, the establishment of registration by the Representative, legal representative or delegate agency for registration.
3, the applicant should be in the "Acceptance Notice" set forth to receive the registration certificate, the date of the registration certificate on behalf of the lobby window to pay licensing fees notice, to receive "foreign (regional) enterprises to establish representative office registration notice a single contact", fill in "Foreign (regional) business representative office to pay advertising fees records", and will be receiving the registration certificate "foreign (region) enterprise permanent representative to pay advertising fees recorded single" to the licensing window (Note: China Business newspaper commissioned a focal point in the registration hall, cash payment only supported way to use other payment methods for your own notice procedures to the newspaper).

How to Register Resident Representative Offices
of Foreign Enterprises

 

To Applicants
Welcome to the Beijing Administration for Industry and Commerce (BAIC) for registration of your business. We follow an “applicant-oriented” concept in our services and are committed to offering convenience and assistance as much as possible. To enable you to have a basic understanding of the procedure and knowledge of registration, we have produced this “Comprehensive Notice” for your attention.

You are strongly advised to note that:
1. To register a resident representative office of foreign enterprises, application documents shall be submitted to registration authority by its chief representative, representatives or employees, and Chinese translations shall be attached if documents and certificates to be submitted are made in foreign languages.
2. Term of residence of the representative office shall not exceed the duration of the foreign enterprise.
3. Part of the documents for incorporation, changes, recordation and closing of a representative office shall be notarized by a notary office in the foreign enterprise’s home country (region) and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Please read this Notice carefully for further information.
4. Total number of representatives (including the chief representative) shall be no greater than 4 persons.
5. A representative office shall announce its establishment and changes, if any, in China Industry & Commerce News . Please refer to detailed announcement procedure described hereafter.
6. When choosing a residence address for the representative office, please note that:
(1) The property to be registered as an enterprise’s residence address shall be legal housing that has been granted an ownership certificate. For registration, a copy of the ownership certificate must be submitted to registration authority.
(2) The purpose of the property used as residence address should be consistent with that specified in the ownership certificate. If the property is for purposes of “industry, education, health care, or other (foreign-related affairs, religion and prison)” as carried in the ownership certificate, the applicant shall submit a certification provided by owner(s) of the property to certify that the property needs such a representative office to reside in. Without causing any changes to the ownership, the following properties could be registered as residence address provided that their planning approval certificates were issued before October 1, 2009, the effective date of Beijing Urban and Rural Planning Ordinance, and the purposes carried in the ownership certificates are “transportation, warehousing, commerce, finance, information, scientific research, culture, entertainment, sports, offices, or comprehensive usages”.
(3) If the residence address is a property which has not been granted an ownership certificate, or special property, residential property or housing purchased by overseas institutions or individuals, relevant documents shall be submitted respectively under the following circumstances:
i . Where the residence address is located in the rural areas and has not been granted an ownership certificate, a copy of the Rural Planning and Construction Permit or a copy of the Temporary Rural Planning and Construction Permit stamped with an official seal should be submitted; alternatively, a certification thereon provided by town or township government is also acceptable.
ii . Relevant certifications are required if the following housing that have not been granted the Certificate of House Property Ownership are used for business operations:
A. Where it is a property of any institution directly under the CPC Central Committee, a certification issued by housing management department of the institution is required;
B. Where it is a property of any ministry or commission under the State Council, a certification issued by the Government Offices Administration of the State Council is required;
C. Where it is a property of any central government enterprise under supervision of the State-owned Assets Supervision and Administration Commission of the State Council (SASAC), a certification provided by the enterprise is required;
D. Where it is a property of any science park at the municipal level or higher, a certification provided by management department of the science park is required;
E. Where a property of any stated-owned enterprises or public institutions under supervision of the State-owned Assets Supervision and Administration Commission of People’s Government of Beijing Municipality (SASBJ) which has been designed for industrial, warehousing or other similar purposes is used to conduct business operations, a certification issued by the SASBJ is required;
F. Where it is a property of any railway organizations, a certification issued by the housing management department of Beijing Railway Bureau is required, in which it should specify that the property is not within 100 meters from the railway lines.
G. Where it is a property of any religious organizations, the Notice of Property Ownership Determination issued to religious properties by the Office for Implementing Private Housing Policies of Beijing is required; alternatively, a certification issued by the government department supervising the religious organization is also acceptable;
iii . Relevant certification documents shall be submitted if any of the following special properties is used as residence address.
A. Where a military property is used as residence address, the original of the Military Property Lease Permit (duplicate) shall be submitted.
B. Where a property of armed police organizations is used as residence address, a copy of the Armed Police Property Lease Permit (duplicate) issued by the infrastructure and barracks division of the logistics department of armed police organizations shall be submitted, accompanied by the original of the said Permit for registration authority to examine.
C. Where a hotel or restaurant is used as residence address, a copy of its business license stamped with its official seal shall be submitted as proof of residence address.
D. Where the landlord is an enterprise that has been approved by industrial and commercial authorities to operate housing rental business, i.e., its business scope includes “commercial housing rental”, “office-use housing rental” and “commercial facilities rental”, a copy of the enterprise’s business license with its official seal affixed and a copy of the ownership certificate of the leased property shall be submitted as proof of residence address.
E. Where air-raid shelters or ordinary basements are used as residence address, they must comply with provisions of the Administrative Measures of Beijing Municipality on Safe Use of People’s Air-raid Projects and Ordinary Basements (Order No.236 of Beijing Municipality), and the applicant shall submit approval document(s) on use of the air-raid projects or filing certification provided by district/county construction (housing) administrations.
iv . If a residential property is to be converted for business purposes and used as residence address, the conversion must comply with state laws, administrative regulations and management rules or agreements. Apart from filling in the Registration Form of Residence Address and the Agreement Certification on Converting Residential Properties for Business Purposes, the applicant should also complete procedures for changing purpose of the property with competent authorities and submit to the registration authority certifications on the converted property.
v . In accordance with the Opinions on Regulating the Entry of Foreign Investment into the Real Property Market and the Administration Thereof published by the Ministry of Construction along with other ministries, when an applicant desires to rent a house property purchased by foreign institutions or individuals as residence address for business operations, the foreign institution or individual shall establish a foreign-funded enterprise pursuant to provisions on investment in real property by foreign businesses or individuals and engage in housing rental business through the said enterprise. Where the property to be rented was purchased by the foreign institution or individual in Beijing before the Opinions went into effect (July 11, 2006) and the lease area is less than 500 m2, the lessee shall register rental of the house property using Certificate of Enterprise’s Residence Address and a copy of the Certificate of House Property Ownership; where the lease area is no less than 500 m2 (included), the foreign institution or individual shall set up a property operation enterprise and entrust the enterprise to rent out the house property, and the lessee shall register rental of the property using the following documents: Certificate of Enterprise’s Residence Address, a sealed copy of the business license of the property operation enterprise, a copy of the Certificate of House Property Ownership, and a copy of proxy in which the foreign institution or individual entrusts the said enterprise to rent out the house property on its behalf. To rent out its residential property, the foreign institution or individual, in addition to completing relevant procedures with competent authority according to provisions of Article 7 of the Opinions, shall fill in the Registration Form of Residence Address and the Agreement Certification on Converting Residential Properties for Business Purposes.
(4) If there is a need to issue certifications on residence address, housing administrations at all levels may directly indicate the owner(s) and purpose of the house property as well as information that construction approval certificates for the property are complete and the property is not an illegal construction in the “Facts To Be Certified” section of the Certificate of Enterprise’s Residence Address; alternatively, they may provide a separate certification to certify the same.
Illegal constructions include urban and rural illegal constructions. The former refers to construction projects without a construction project planning permit or temporary construction project planning permit, or constructions not in keeping with the content of the permit, or overdue undemolished temporary construction projects in cities and towns. The latter refers to construction projects that should have been granted rural construction planning permit or temporary rural construction planning permit, or constructions not in keeping with the content of the permit in rural areas.

Time Limit for Accepting and Examining an Application
Where a foreign enterprise applies for various registrations concerning its resident representative office, the Administration for Industry and Commerce shall make an on-site decision on registration and grant a business license or other registration certificates within 5 working days provided that the application documents are complete and comply with statutory forms. (Where an applicant applies for an administrative licensing in a non-regular form, time limit for accepting and examining the application is determined according to the Provisions on Enterprise Registration Procedures published by the SAIC).
Registration Enquiry Methods
For registration information, you can log onto BAIC homepage (www.BAIC.gov.cn), refer to the Comprehensive Notice or directly ask the enquiry window of an administration for industry and commerce.
Jurisdiction over Registration
All registrations concerning resident representative offices of foreign enterprises in Beijing shall be carried out with the BAIC.
Service Rates
1. Fee for registration of establishment of a resident representative office of foreign enterprises: RMB 600 yuan; rates for publishing an establishment announcement in China Industry & Commerce News are determined according to the specific page and section chosen by the representative office.
2. Fee for registration of duration extension of a resident representative office: RMB 300 yuan; rates for publishing a duration extension announcement in China Industry & Commerce News are determined according to the specific page and section chosen by the representative office.
3. A fee of RMB 100 will be charged for registering each of the following: changes of a representative office, filing of representatives, employees, employee work extensions and changes of employees. The rates for publishing an announcement about such changes in China Industry & Commerce News are determined according to the specific page and section chosen by the representative office.
Procedures for Establishing a Resident Representative
 Office of Foreign Enterprise
The establishment of a resident representative office generally needs to go through the following steps:
Step 1: According to its type of business operations, the foreign enterprise should apply to Beijing Municipal Bureau of Commerce or relevant commissions, ministries or bureaus under the State Council for grant of Approval Certificate;
Note: foreign enterprises of the following industries should directly register with the BAIC, without the need to complete prior procedure of examination and approval with competent authorities: advertising, pharmaceutical, trade, manufacturing, freight forwarding, contracting, consulting, investment, leasing, and railway transport.
Step 2: Obtain registration forms;
Step 3: Submit application documents and wait to receive the Notification of Approval for Registration of Establishment given that the application documents are complete and comply with statutory forms;
Step 4: Receive the Notification of Approval for Registration of Establishment, and go to an administration for industry and commerce to pay registration fees and announcement charges and collect the registration certificate and representative certificates on the date prescribed by the said Notification.
Documents and Certificates Required for Registration of a Resident
 Representative Office of a Foreign Enterprise
1. Documents and certificates to be submitted for registration of establishment of a resident representative office of a foreign-funded enterprise:
(1) Application Form for Registration of Establishment of Resident Representative Offices of Foreign Enterprises (included are forms such as the Basic Information of Representative Office; Proof of Residence Address; Registration Form of Chief Representative; Registration Form of Representatives);
(2) The original of a valid Approval Certificate issued by Beijing Municipal Bureau of Commerce or relevant commissions, ministries or bureaus under the State Council (valid within 30 days after date of issue); and other relevant documents if the resident representative office is established to conduct profit-making activities in accordance with provisions of international conventions or agreements that China has concluded or acceded to.
(3) Certificate of legal operation (photocopy) for a duration of at least 2 years issued by registration authority of the country (region) where the foreign enterprise is from and creditworthiness certificate (original) provided by financial institutions that have business relations with the enterprise (please note that for Hong Kong limited liability companies, a copy of valid Business Registration Certificate issued by Hong Kong tax authorities is required), both need to be notarized by a notary office in the enterprise’s home country (region) and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship); notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations. For enterprises from Hong Kong and Macau, they must have their certificates of investor’s qualification notarized by local notary offices and legalized by China Legal Service (Hong Kong) Limited and China Legal Service (Macau) Limited respectively; for enterprises from Taiwan, they must have their certificates of investor’s qualification notarized by a local notary office.
(4) Application Form (original) signed by an authorized signatory of the foreign (regional) enterprise (including name of representative office; domicile; names of chief representative and representatives; business scope of representative office; term of residence);
(5) Articles of Association or organizational agreement of the foreign (regional) enterprise; (the document shall be notarized by a notary office in the enterprise’s home country or region and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations. For enterprises from Hong Kong and Macau, they must have their Articles of Association or organizational agreement notarized by local notary offices and legalized by China Legal Service (Hong Kong) Limited and China Legal Service (Macau) Limited respectively; for enterprises from Taiwan, they must have their certificates of investor’s qualification notarized by a local notary office.
(6) Power of attorney or other certification authorizing the authorized signatory provided by the foreign (regional) enterprise; (the document should be notarized by a notary office in the enterprise’s home country or region and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations. For enterprises from Hong Kong and Macau, they must have their Power of Attorney or other certification authorizing the authorized signatory notarized by local notary offices and legalized by China Legal Service (Hong Kong) Limited and China Legal Service (Macau) Limited respectively; for enterprises from Taiwan, they must have their certificates of investor’s qualification notarized by a local notary office.
(7) Power of attorney (or letter of appointment) (original) designating the chief representative and representatives signed by the authorized signatory of the foreign (regional) enterprise as well as these designated people’s identifications [the documents should be notarized by a notary office in the enterprise’s home country or region and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations], accompanied by CVs of the chief representative and representatives and 3 photos of each of them. Total number of representatives (including the chief representative) shall be no greater than 4 persons.
Where a Chinese citizen is appointed as the chief representative or representative, a letter of dispatch provided by a Services Unit for Foreigners is required (please note that Services Units for Foreigners include: Beijing Foreign Enterprise Human Resources Service Co., Ltd., China Star Corporation, China International Intellectech Corporation, Chengtong Human Resources Company Ltd., China International Talent Development Center, and Beijing Foreign Airlines Service Corporation);
(8) Designation (Authorization) Letter;
(9) Registration Form of Enterprise’s Secretary (Contact Person);
(10) In addition to the above documents, a financial or insurance company should also submit its annual report of assets, profits and losses, Articles of Association and a list of members of the Board of Directors.
You are strongly advised to note that:
(1) The applicant shall register with registration authority within 6 months from the date when the relevant notarized and authenticated documents are issued.
(2) Registration of establishment shall be conducted by the chief representative, a representative or an entrusted qualified registration agency.
(3) The applicant shall, on the date of collecting the registration certificate and representative certificates as indicated in the Notification of Acceptance, pay announcement fee at the certificate-collecting window of the registration hall, receive the Payment Slip for Publishing an Announcement on Establishment of Resident Representative Offices of Foreign (Regional) Enterprises, fill in the Record Form for Payment of Announcement Fee by Resident Representative Offices of Foreign (Regional) Enterprises and return it to the certificate-collecting window when collecting the registration certificate. (Please note that the point of contact from China Industry & Commerce News at the registration hall only accepts cash payment; for other payment methods, the applicant should go directly to China Industry & Commerce News to pay for publishing of an announcement).
2. Documents and certificates to be submitted for registration of changes of a resident representative office of a foreign-funded enterprise:
(1) Application Form for Registration of Changes (Filings) of Resident Representative Offices of Foreign-funded Enterprises
(2) Designation (Authorization) Letter
(3) Additional documents and certificates are required for registering the following changes:
To change name of the representative office: (1) approval document for the change; (2) certificate of legal operation for a duration of at least 2 years issued by registration authority of the country (region) where the foreign enterprise is from and creditworthiness certificate (original) provided by financial institutions that have business relations with the enterprise, both need to be notarized by a notary office in the enterprise’s home country (region) and authenticated by Chinese embassy or consulates based there (notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations); (3) former registration certificate and representative certificates.
Please note that if the examination and approval authority has abolished the requirement for prior approval of such changes, the resident representative office should directly register change of its name with the BAIC.
To change residence address: (1) Proof of Residence Address; (2) former registration certificate
To change business scope: (1) approval document for the change; (2) former registration certificate.
To change chief representative: (1) approval document for the change; (2) letters of appointment and removal signed by the authorized signatory of the foreign (regional) enterprise as well as identification of the new chief representative (Where the chief representative is replaced by another person, a statement should be provided to indicate whether he or she will stay in the enterprise and if yes, his or her new post); [the said documents should be notarized by a notary office in the enterprise’s home country or region and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations.] (3) CV, 3 photos and identification (copy) of the newly appointed chief representative; (4) representative certificate (original) and registration certificate (original); (5) where a Chinese citizen is appointed as chief representative, a letter of dispatch provided by a Services Unit for Foreigners is required.
To change term of residence: (1) Certificate of investor’s qualification for a duration of at least 2 years issued by competent authority of the country (region) where the foreign enterprise is from and creditworthiness certificate (original) provided by financial institutions that have business relations with the enterprise; (the documents should be notarized by a notary office in the enterprise’s home country or region and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations. The applicant shall register extension with registration authority within 6 months from the date the above notarized and authenticated documents are issued; (2) former representative certificates and registration certificate.
To register an extension of term of residence, the applicant shall, in addition to the above documents and certificates, submit the Approval Certificate of Extension (original) issued by the original examination and approval authority if prior examination and approval is required for an extension. The representative office shall apply to register an extension of term of residence within 30 days from the date the extension is approved by the original examination and approval authority.
Please note that term of residence of the representative office shall not exceed the duration of the foreign enterprise.
To change residence address of the foreign (regional) enterprise: (1) approval document for the change issued by registration authority of the country (region) where the enterprise is from, which must be notarized by a notary office in the enterprise’s home country (region) and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations; (2) former registration certificate.
You are strongly advised to note that:
The applicant shall, on the date of collecting the registration certificate and representative certificates as indicated in the Notification of Acceptance, pay announcement fee at the certificate-collecting window of the registration hall, receive the Payment Slip for Publishing an Announcement on Changes of Resident Representative Offices of Foreign (Regional) Enterprises, fill in the Record Form for Payment of Announcement Fee by Resident Representative Offices of Foreign (Regional) Enterprises and return it to the certificate-collecting window when collecting the registration certificate. (Please note that the point of contact from China Industry & Commerce News at the registration hall only accepts cash payment; for other payment methods, the applicant should go directly to China Industry & Commerce News to pay for publishing of an announcement).
3. Documents and certificates to be submitted for registration of filings of a resident representative office of a foreign-funded enterprise:
(1) Application Form for Registration of Changes (Filings) of Resident Representative Offices of Foreign (Regional) Enterprises
(2) Designation (Authorization) Letter
(3) Registration Certificate (copy)
(4) Other documents and certificates are required for filing the following matters with the registration authority:
To file the authorized signatory of the foreign (regional) enterprise: (1) Power of attorney or other certification authorizing the authorized signatory provided by the foreign (regional) enterprise [the document should be notarized by a notary office in the enterprise’s home country or region and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations.]
To file form of responsibility, capital (assets), and business scope of the enterprise:
Certification on changes in form of responsibility, capital (assets), and business scope of the enterprise which has been notarized by a notary office in the enterprise’s home country or region and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship).
To file representatives: (1) approval document for the change; (2) letters of appointment and removal signed by the authorized signatory of the foreign (regional) enterprise as well as identifications of the new representatives (Where a representative is replaced by another person, a statement should be provided to indicate whether he or she will stay in the enterprise and if yes, his or her new post); [the said documents should be notarized by a notary office in the enterprise’s home country or region and authenticated by Chinese embassy or consulates in that country (or region which is placed under China’s trusteeship). Notarization and authentication of relevant documents of representative offices of enterprises from Hong Kong, Macau and Taiwan shall be conducted according to existing regulations.] (3) CV, 3 photos and identification (copy) of each of the newly appointed representatives; (4) representative certificate (original) of the removed representative; (5) where a Chinese citizen is appointed as a representative, a letter of dispatch provided by a Services Unit for Foreigners is required.
Please note that if the examination and approval authority has abolished the requirement for prior approval of such changes, the resident representative office should directly register the changes with the BAIC.
4. Documents and certificates to be submitted for registration of closing of a resident representative office of a foreign-funded enterprise:
(1) Application Form for Registration of Closing of Resident Representative Offices of Foreign Enterprise;
(2) Certification on approval of the closing provided by the original Chinese handling unit (guarantor) or the original approval authority;
Please note that if the examination and approval authority has abolished the requirement for prior approval of closing, the resident representative office should directly register its closing with the BAIC.
(3) Tax deregistration certificates (including local and state taxes) provided by tax authorities as well as certification on clearance or non-clearance of all relevant matters provided by customs and foreign exchange authorities;
(4) Original Registration Certificate and Representative Certificates;
(5) Designation (Authorization) Letter.
You are strongly advised to note that:
Where a representative office is deregistered, the registration authority shall publish an announcement of the deregistration in newspaper and put the sample newspaper into the file of the representative office.
5. Documents and certificates to be submitted for registration of new employees of a resident representative office of a foreign-funded enterprise:
(1) Registration Form of Employee and copies of their identifications;
(2) Letters of dispatch provided by a Services Unit for Foreigners;
(3) Two recent photos of each new employee (1-inch, without hat).
6. Documents and certificates to be submitted for registration of work extensions of employees of the resident representative office:
(1) Employment contract or employment renewal certification provided by a Services Unit for Foreigners;
(2) Employee’s Certificate
7. Documents and certificates to be submitted for deregistration of employees of the resident representative office:

8. Documents and certificates to be submitted when applying for re-issue of registration certificate or representative certificate because the original one has been lost or damaged:
(1) Designation (Authorization) Letter; (2) certification signed by the chief representative; (3) sample newspaper of China Industry & Commerce News which carries an announcement about loss and invalidation of the certificates (To publish such an announcement, the applicant may consult with the certificate-collecting window at the registration hall); (4) Application Form for Changing, Adding (Withdrawing), or Re-issuing Business License.
You are strongly advised to note that:
1. It is advised not to change the authorized person during the registration process. If changed, please submit a new Designation (Authorization) Letter.
2. The authorized person should be an employee or representative of the representative office.
Please note that Designation (Authorization) Letter is not required when chief representative personally conducts registration with the registration authority.
3. If a qualified registration agency is entrusted to complete the registration procedures, a copy of the agency’s business license stamped with its official seal, a designation letter, a power of attorney, as well as qualification certificates and identifications of the agents shall be submitted.
4. Documents and certificates required for registration of employees as listed above in sections 5, 6 and 7 shall be submitted to the BAIC by the employees’ dispatching unit.
